Terms of Service
These Terms govern your access to and use of Timsio. Please read them carefully — by creating an account or using Timsio you agree to them.
1. Acceptance of these Terms
These Terms of Service ("Terms") are a binding agreement between you and B217 LLC ("Timsio", "we", "us", or "our"), the company that provides the Timsio time-tracking, invoicing, and payments platform (the "Service").
By creating an account, starting a free trial, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated here by reference. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other organisation, you represent that you have the authority to bind that organisation to these Terms, and "you" refers to that organisation.
2. About Timsio
Timsio is software for time tracking, invoicing, and getting paid, built for freelancers, consultants, and small agencies. We provide the software; we are not your accountant, bookkeeper, tax adviser, or lawyer, and nothing in the Service is professional advice.
In these Terms, a "Subscriber" is the freelancer, consultant, or agency that holds a Timsio account. A "Client" is a customer of a Subscriber — the person or business a Subscriber invoices and collects payment from using the Service.
3. Eligibility
You must be at least 16 years old (or the minimum age required in your country to consent to the processing of your personal data) to use the Service. The Service is intended for business use by professionals and is not directed to children.
You are responsible for ensuring that your use of the Service complies with the laws that apply to you and your business.
4. Your account and organisation
To use most features you must create an account and an organisation. You can sign up with an email and password or through a supported single sign-on provider (Google or Microsoft).
You are responsible for the accuracy of your account information, for keeping your login credentials confidential, and for all activity that occurs under your account. Tell us promptly at support@timsio.com if you suspect any unauthorised use of your account.
An organisation owner or administrator can invite team members and assign roles (for example owner, admin, manager, member, or contractor). The organisation is responsible for managing its members and their permissions, and for the actions its members take in the Service.
5. Description of the Service
The Service lets you and your team track time, manage clients and projects, record expenses, create and send invoices, and collect payment. Depending on your plan, it may also offer calendar and chat integrations, accounting integrations, reporting, and AI-assisted timesheet suggestions.
We are continually improving the Service and may add, change, or remove features over time. Some features depend on your subscription plan and on third-party services you choose to connect.
6. Plans, free trial, and billing through Paddle
Timsio offers a free plan (L1), paid subscription plans (L2 Plus and L3 Pro), and an optional AI add-on. The features and limits of each plan are described on our pricing page and within the Service.
New paid plans include a 15-day free trial. No payment card is required to start the trial. If you do not upgrade to a paid subscription, your access to paid features ends when the trial ends.
Our subscriptions are sold and processed through Paddle.com Market Limited and its group companies ("Paddle") acting as our Merchant of Record and authorised reseller. This means that when you buy a paid subscription, your order is fulfilled by Paddle: Paddle is the seller/merchant of record, and Paddle handles payment processing, billing, invoicing, and the collection and remittance of applicable taxes. Your purchase is also subject to Paddle's buyer terms and privacy policy.
Paid subscriptions are billed in advance on a recurring basis (monthly or yearly, as you select) and renew automatically for successive periods until cancelled. By subscribing, you authorise Paddle to charge your payment method for each renewal at the then-current price until you cancel.
You can cancel at any time. When you cancel, your subscription remains active until the end of the period you have already paid for, and it does not renew after that. We do not provide pro-rated or partial refunds for the unused portion of a period. Please see our Refund Policy for details.
We may change our plans, features, and prices. If we change the recurring price of your subscription, we will give you reasonable advance notice, and any change will take effect at your next renewal. If you do not agree to a price change, you may cancel before it takes effect.
You are responsible for any taxes that apply to your purchase, except for taxes based on our net income. Where Paddle acts as Merchant of Record, Paddle determines, charges, and remits applicable sales tax, VAT, or GST.
7. Invoicing and collecting payment from your Clients
The Service lets you issue invoices to your Clients and, where enabled, collect payment from them through a third-party payment provider. This is separate from your own subscription to Timsio.
You are solely responsible for your invoices and your relationship with your Clients, including the accuracy of what you bill, the goods or services you provide, applicable taxes, refunds you owe your Clients, and compliance with the laws that apply to you. Timsio provides the tooling; we are not a party to the contract between you and your Client and are not responsible for your Clients' payments.
8. Acceptable use
You agree not to misuse the Service. In particular, you agree not to:
- break the law, or use the Service to help anyone else break the law;
- infringe anyone's intellectual property, privacy, or other rights;
- upload malware or attempt to gain unauthorised access to the Service, other accounts, or our systems;
- probe, scan, or test the vulnerability of the Service, or bypass any security or access controls, except under a program we have authorised in writing;
- interfere with or disrupt the Service, place an unreasonable load on it, or scrape it other than through interfaces we provide;
- send spam or unsolicited messages, or use the Service to harass or harm others; or
- resell, sublicense, or provide the Service to third parties except as expressly permitted (for example, inviting your own team members and issuing invoices to your Clients).
We may investigate suspected violations and may suspend or terminate accounts that violate these Terms, as described below.
9. Your content and data
You (and your organisation) own the data you put into the Service — your clients, projects, tasks, time entries, invoices, expenses, receipts, and other content you create or upload ("Your Content"). We do not claim ownership of Your Content.
You grant us a limited, worldwide, non-exclusive licence to host, store, process, transmit, back up, and display Your Content only as needed to operate and improve the Service, provide support, and comply with the law. We do not sell Your Content, and we do not use it to train AI models for the benefit of other customers.
You are responsible for Your Content and for having the necessary rights and consents to put it into the Service, including any personal data about your team members or your Clients. Where you upload personal data about others, you are the controller of that data and we act as your processor, as described in our Privacy Policy.
10. Our intellectual property and licence restrictions
The Service itself — including all software, source code, design, layout, text, graphics, user interfaces, and the Timsio name and logo — is owned by Timsio or our licensors and is protected by copyright, trademark, and other intellectual-property laws. All rights not expressly granted to you are reserved.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for your own business purposes. These Terms do not transfer to you any ownership of, or other right in, the Service or our intellectual property.
Except as expressly permitted by these Terms, or to the extent this restriction is prohibited by a law that cannot be excluded, you must not, and must not permit anyone else to:
- copy, reproduce, republish, download, distribute, publicly display, or otherwise exploit the Service or any part of it;
- modify, adapt, translate, or create derivative works based on the Service;
- reverse engineer, decompile, disassemble, or otherwise attempt to discover or derive the source code, underlying ideas, or algorithms of the Service;
- frame, mirror, scrape, or use automated means to extract or replicate the Service, its content, or its design;
- remove, obscure, or alter any copyright, trademark, or other proprietary notice on the Service; or
- use the Service — or its features, design, look and feel, or content — to build, train, or offer a product or service that competes with or is substantially similar to Timsio.
If you send us feedback or suggestions, we may use them to improve the Service without any obligation to you.
11. Third-party integrations
The Service lets you connect third-party services — for example Google (Calendar and Chat), Microsoft (Outlook and Teams), Zoom, QuickBooks, and Xero. If you connect one, you authorise us to access and exchange information with it on your behalf to provide the integration.
Your use of a third-party service is governed by that provider's own terms and privacy policy. We are not responsible for third-party services, and we do not control their availability. You can disconnect an integration at any time from your settings.
12. AI-assisted features
Some plans offer AI-assisted features that suggest timesheet entries based on data such as your connected calendar, meeting, and chat activity. These features produce suggestions only — Timsio never logs time automatically, and you review, edit, accept, or reject every suggestion.
AI suggestions may be incomplete or inaccurate. You are responsible for reviewing them before relying on them. You can control how these features work, including what data is used, through your privacy settings. How we handle data for AI features, including the step that removes sensitive content before any third-party AI processing, is described in our Privacy Policy.
13. Privacy
Our Privacy Policy explains what personal data we collect, how we use it, who we share it with, and the choices and rights you have. By using the Service you acknowledge our Privacy Policy.
14. Service availability and changes
We work hard to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or secure. We may perform maintenance, and we may modify, suspend, or discontinue parts of the Service. Where a change materially reduces the core functionality of a paid plan, we will make reasonable efforts to notify you.
15. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will meet your requirements, that it will be available at any particular time or location, or that any defects will be corrected. You use the Service at your own risk, and you are responsible for maintaining your own copies of important data.
16. Limitation of liability
To the fullest extent permitted by law, Timsio and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the liability, or (b) USD 100.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
17. Indemnification
You agree to indemnify and hold harmless Timsio and its officers, employees, and suppliers from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to Your Content, your use of the Service, your invoicing of and dealings with your Clients, or your violation of these Terms or of any law or third-party right.
18. Term and termination
These Terms apply for as long as you use the Service. You may stop using the Service and delete your account at any time from your settings.
We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your continued use poses a risk to the Service or others. Where practical and lawful, we will give you notice and an opportunity to resolve the issue.
When your account is terminated, your right to use the Service ends. We will make Your Content available for export for a limited period as described in our Privacy Policy, after which it may be deleted in the ordinary course. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.
19. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you — for example by email or an in-app notice — before they take effect. The "Effective date" at the top of this page shows when the current version took effect. If you continue to use the Service after a change takes effect, you accept the updated Terms.
20. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-laws rules. Subject to any mandatory consumer-protection laws that apply to you, the courts of the State of New Jersey will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
21. General
These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Timsio about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
